These Terms of Service ("Terms") are a binding agreement between you and InvoiceBadger ("we", "us", "our"). By creating an account or using InvoiceBadger you agree to them. If you don't agree, please don't use the service. We've kept the language plain, but this is a legal agreement.
Who can use InvoiceBadger
You must be at least 18 and able to enter a binding contract. If you use InvoiceBadger for a business, you confirm you're authorised to accept these Terms on its behalf. One person or business per account.
The service
InvoiceBadger provides invoicing tools through a web app and an MCP interface for AI agents. We provide it on an "as is" and "as available" basis. We may add, change, suspend or remove features, or the service itself, at any time; where a significant change is within our control we'll give reasonable notice. Some features may be labelled beta and may change or be withdrawn.
Your account
Keep your login details secure and give accurate information. You're responsible for everything that happens under your account, including activity by any AI agents or tools you connect to it. Tell us promptly at support@invoicebadger.com if you suspect unauthorised access. To the extent the law allows, we're not liable for loss arising from your failure to keep your credentials secure.
Acceptable use
You agree to use InvoiceBadger lawfully and as intended. You must not: use it for fraudulent, deceptive or illegal invoicing; break any law or infringe anyone's rights; upload malicious or harmful content; attempt to gain unauthorised access to, disrupt, overload, reverse engineer or probe the service; access it by automated means except through the interfaces we provide; resell or white-label it without our written permission; or use it to send spam. We may investigate suspected breaches and take action, including removing content and suspending accounts.
Your data and content
You own the invoice and client data you enter. You grant us the permission needed to host, process and display it to run the service for you. You're responsible for the accuracy and legality of your content and for having the right to store your clients' details. We handle personal data as set out in our Privacy Policy and Data Processing Agreement. We may remove content that breaches these Terms or the law.
Keep your own records
InvoiceBadger helps you invoice; it isn't your official system of record. You're responsible for checking every invoice before you send it, and for keeping your own copies of anything you need for tax, accounting or legal purposes. Please don't rely on us as your only record.
Not financial, tax or legal advice
InvoiceBadger is software, not an accountant or adviser, and nothing it produces is financial, tax or legal advice. You remain responsible for your own invoicing, tax and legal compliance.
Third-party services
InvoiceBadger relies on third parties (for example Stripe for payments, Resend for email, and any AI or MCP client you choose to connect). Their own terms and privacy policies govern their part, and we're not responsible for third-party services we don't control. Our current providers are listed on our Sub-processors page.
Plans and billing
InvoiceBadger offers a free plan and one or more paid plans. The current plans and prices are shown on our Pricing page and at checkout. Paid plans are billed through Stripe and renew automatically until you cancel. You can cancel anytime and your paid plan continues to the end of the period you've already paid for. We don't give partial refunds except where the law requires. We may change our prices or introduce new plans with reasonable notice; any change won't affect the period you've already paid for.
Availability
We aim for high availability but don't guarantee the service will be uninterrupted or error-free, and we may carry out maintenance. We're not liable for downtime outside our reasonable control.
Warranties
To the fullest extent permitted by law, we exclude all implied warranties, terms and conditions, including any implied terms of satisfactory quality, fitness for a particular purpose and non-infringement. This does not affect the statutory rights you have as a consumer.
Our liability
Nothing in these Terms limits or excludes liability that cannot be limited by law, including for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Subject to that: we're not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill or data; and our total liability to you for all claims in any 12-month period is limited to the greater of (a) the fees you paid us in the 12 months before the claim, or (b) £50.
Indemnity
You agree to cover our reasonable losses, damages and costs (including reasonable legal fees) arising from a third-party claim (including by your clients) that results from your content, your use of InvoiceBadger, or your breach of these Terms or the law. This does not apply to the extent the claim is caused by our own breach or negligence.
Suspension and termination
You can stop using InvoiceBadger and close your account at any time. We may suspend or close your account if you breach these Terms, don't pay, or where we reasonably need to for legal, security or safety reasons; where practical we'll give notice. On termination your right to use the service ends and we handle your data as described in our Privacy Policy.
Force majeure
We're not liable for any failure or delay caused by events beyond our reasonable control, such as outages of our infrastructure providers, network failures, or other force majeure.
Changes to these Terms
We may update these Terms from time to time. If a change is significant we'll take reasonable steps to let you know. Continuing to use InvoiceBadger after a change means you accept the updated Terms; the date at the top shows when they last changed.
General
These Terms, together with our Privacy Policy and any plan details shown at checkout, are the entire agreement between us. If any part is found unenforceable, the rest continues to apply. If we don't enforce a right, that isn't a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor of our business. No one other than you and us has any rights under these Terms.
Governing law
These Terms, and any dispute arising from them, are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you're a consumer, nothing here affects statutory rights that can't be excluded by law, and you may have the right to bring proceedings in your local UK courts.
